These Terms of Service (“Terms”) govern your use of the website cloud3digital.com (the “Site”) and the services offered by Cloud3 Digital, also operating as Cloud3 Agency (“Cloud3”, “we”, “us”, or “our”). By using the Site, submitting a form, or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site.
Our Services
Cloud3 provides digital marketing and development services, including web design and development, search engine optimization, paid advertising management, CRM and automation systems, and related consulting. The specific scope, deliverables, timeline, and fees for any engagement are defined in a written quote, proposal, or agreement provided to you before work begins. Content on the Site, including pricing ranges and case study results, is for general information and does not constitute a binding offer; individual results vary by market, budget, and engagement.
Quotes, Payment & Cancellation
Project work is quoted in writing and typically billed by milestone (for example, a deposit, a midpoint payment, and a balance at launch). Recurring services such as SEO or advertising management are billed monthly, and unless a written agreement says otherwise, continue month to month and may be cancelled by either party with written notice before the next billing cycle. Advertising spend paid to platforms such as Google or Meta is separate from our fees and is non-refundable by us. Invoices are payable per the terms stated on them, and we may pause work on overdue accounts.
Client Responsibilities
You agree to provide timely access to the accounts, content, brand materials, and approvals needed to perform the work, and you confirm that any materials you supply do not infringe the rights of any third party. You are responsible for the accuracy of information about your own business that we publish at your direction.
Communications & SMS
By submitting a form on the Site you consent to being contacted about your inquiry by email or phone. Text messaging is separate: we send SMS only if you check the optional SMS consent box on a form, as described in the SMS Communications section of our Privacy Policy. You can opt out of SMS at any time by replying STOP, and of email marketing via the unsubscribe link in any message.
SMS Program Terms
SMS Program Description
The Cloud3 Agency SMS messaging program sends transactional customer service messages only. If you opt in, you will receive the following types of SMS messages from Cloud3 Agency:
(a) Auto-response follow-ups after missed inbound calls to our business line, acknowledging the call and directing you to our contact form;
(b) One-to-one replies confirming receipt of a form inquiry you submitted and following up on your active engagement with us (project updates, appointment reminders, responses to your questions);
(c) Confirmations and reminders for meetings you have booked with Cloud3 Agency through our online calendar.
The Cloud3 Agency SMS program does not send promotional messages, marketing broadcasts, alerts, notifications about products or services you have not inquired about, or automated campaign messages of any kind.
Message and Data Rates
Message and data rates may apply based on your wireless carrier’s plan for any SMS messages you send to or receive from Cloud3 Agency. Message frequency varies depending on your inquiry or engagement. Cloud3 Agency is not responsible for any charges imposed by your wireless carrier for receiving our messages.
Carrier Liability Disclaimer
Wireless carriers, including but not limited to Rogers, Bell, Telus, Freedom Mobile, AT&T, T-Mobile, and Verizon, are not liable for delayed or undelivered SMS messages sent through the Cloud3 Agency messaging program. Delivery of SMS messages is subject to effective transmission by your wireless carrier and is not guaranteed.
Age Restriction
The Cloud3 Agency SMS messaging program is intended for individuals who are at least 18 years of age. By opting in to receive SMS messages from Cloud3 Agency, you represent and warrant that you are 18 years of age or older. If you are under 18, do not submit your phone number or opt in to receive SMS messages.
Third-Party Platforms
Our services rely on third-party platforms we do not control, including Google, Meta, hosting providers, and CRM and messaging infrastructure. We are not responsible for changes those platforms make, including algorithm updates, policy decisions, pricing changes, or outages, though we will always work in good faith to adapt.
No Guarantees; Disclaimer
Marketing outcomes depend on factors outside any provider’s full control. Except where a written agreement states a specific commitment, our services and the Site are provided “as is” without warranties of any kind, and we do not guarantee specific rankings, traffic, lead volumes, or revenue. Case study figures on the Site reflect real client results and are not a promise of the same outcome for your business.
Limitation of Liability
To the maximum extent permitted by law, Cloud3’s total liability arising from or related to the Site or our services is limited to the fees you paid to us in the three months preceding the claim, and we are not liable for indirect, incidental, or consequential damages, including lost profits or lost data. Nothing in these Terms limits liability that cannot be limited under applicable law.
Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. Any disputes will be resolved in the courts of Ontario.
Changes to These Terms
We may update these Terms from time to time. The “Last updated” date above reflects the current version, and continued use of the Site after changes take effect constitutes acceptance.
